
According to Business Standard, transport Corporation of India has officially confirmed its maiden equity share buyback program, committing up to ₹150 crore to repurchase 1,562,500 shares. According to BSE regulatory filings submitted by the logistics firm, the board of directors approved the transaction at ₹960 per share, establishing a 10.6% premium over the stock closing price of ₹868 on September 29, 2026.
The capital allocation accounts for 2.03% of the company paid-up equity share capital. Based on audited financial statements for the fiscal year ended March 31, 2026, the buyback size represents 6.76% of aggregate fully paid-up capital and free reserves on a standalone basis, and 4.07% on a consolidated basis. The corporate action follows a 14% stock rally on September 25 after the company initially notified exchanges on September 24 regarding the upcoming board evaluation.
The share repurchase will be executed on a proportionate basis through the tender offer route using standard stock exchange mechanisms. Eligible shareholders will have their entitlements calculated based on a scheduled record date of October 9, 2026. Promoters and members of the promoter group have formally indicated their intention not to participate in the buyback process, making the entire program accessible to public shareholders.
Under SEBI Buyback Regulations, a mandatory 15% reservation is earmarked for small shareholders with holdings up to ₹2 lakh. Market analysis indicates that such allocations typically create higher acceptance ratios for retail investors compared to the general category in tender offers. The cash outflow will be funded entirely from internal surplus liquidity maintained by the transport firm.
According to Findoc, alongside the capital return initiative, the board approved the incorporation of a wholly owned subsidiary in China. TCI structured the expansion as a Wholly Foreign-Owned Enterprise Limited Liability Company, operating in compliance with India Overseas Direct Investment framework administered by the Reserve Bank of India.
The international expansion aims to reinforce the firm cross-border logistics network and develop an integrated trade corridor connecting India, China, and the Far East. Initial operational deployment will target a free trade zone located in either Shanghai or Shenzhen.
The financial commitment allocated for establishing the Chinese operating unit is capped at up to $2 million, or its equivalent in freely convertible foreign currencies. Capital deployment will occur in one or multiple tranches in compliance with applicable statutory frameworks.
