The National Stock Exchange of India has fixed its initial public offering price band at ₹1,700 to ₹1,785 per equity share, setting the stage for a September 17 launch. The pricing reflects a downward adjustment from unlisted market valuations that had previously reached a peak of around ₹2,400 in June 2025. With a face value of ₹1 per share, the upcoming mega offering is entirely structured as an offer for sale, meaning no fresh capital will flow into the exchange itself.
The public offering size has been downsized to approximately ₹21,494 crore to ₹22,567 crore, reflecting reduced participation quotas from major early institutional sellers. Despite the moderated valuation target which places the exchange at close to $46 billion, the domestic equity giant remains positioned as one of the country's largest listings, trailing behind Hyundai Motor India's ₹27,870 crore record issue.
Valuation Adjustments and Unlisted Market Realities
Market participants noted that the lower price band relative to recent unlisted trading levels highlights a recalibration toward prevailing macroeconomic conditions and more disciplined price discovery. When BSE shares experienced record rallies, investors gravitated toward NSE unlisted shares as a proxy play, driving valuations upward. However, market analyst Arun Kejriwal cautioned that unlisted markets do not guarantee perfect price discovery. According to Kejriwal, Nifty has retreated from around 25,000 in June 2025 to 2,3200 levels, prompting the exchange to factor broader market realities into its final pricing.
Umesh Paliwal, co-founder of UnlistedZone, observed that long-term investors entering the unlisted arena between 2018 and 2025 secured profits, but purchasing shares closely ahead of an official IPO announcement typically locks in elevated valuations. The upper end of the ₹1,785 price band stands approximately 26 per cent below the peak recorded in mid-2025 and sits roughly 6 per cent under unlisted trading quotes hovering near ₹1,990. Bidding for anchor investors is scheduled for September 16, while the three-day public subscription window opens on September 17 and concludes on September 21.
Offer for Sale Composition and Major Selling Shareholders
The issue comprises an offer for sale of up to 12.64 crore equity shares, scaled down from the initial 14.9 crore shares outlined in early filings. State Bank of India leads the roster of eleven selling shareholders, with its reduced stake sale projected to yield an estimated ₹2,849 crore at the upper price band. Other significant institutional offloaders include MS Strategic Mauritius Ltd targeting an estimated ₹2,650 crore recovery, and Aranda Investments slated for ₹1,938 crore.
Additional participating entities trimming their holdings include the Stock Holding Corporation of India, General Insurance Corporation, New India Assurance, Canada Pension Plan Investment Board, and SBI Capital Markets. National Insurance, United India Insurance, and Bank of Baroda are also participating in the equity dilution. The transaction structure maintains a reservation framework allocating 50 per cent of the net offer to qualified institutional buyers, 15 per cent to non-institutional investors, and 35 per cent to retail investors, alongside employee-focused discounts.
Financial Performance and Historical Revenue Metrics
Financial disclosures indicate robust underlying profitability alongside recent stabilization in revenue generation. For the fiscal year 2026, the exchange reported operational revenue of ₹16,601.31 crore, moderating from ₹17,140.68 crore in fiscal 2025 while remaining above the ₹14,780.01 crore posted in fiscal 2024. Earnings before interest, taxes, depreciation, and amortization declined to ₹11,097.90 crore from ₹12,646.88 crore in the preceding period.
Similarly, profit after tax settled at ₹10,302.06 crore for fiscal 2026, compared to ₹12,187.69 crore recorded in fiscal 2025. Despite these contractions driven by shifting options trading volumes and market activity, profitability metrics remain well above fiscal 2024 benchmarks. The financial foundation provides the baseline underpinning the exchange's valuation ahead of its upcoming debut on Dalal Street.
Employee Allocations and Grey Market Sentiment
To encourage internal participation, the exchange has set aside shares valued at up to ₹70 crore for eligible employees, complemented by a dedicated discount of ₹170 per equity share. A vast syndicate of twenty book-running lead managers, including Kotak Capital, JM Financial, Morgan Stanley India, and Citigroup, is managing the massive public issue.
In the unofficial grey market, NSE shares continue to attract robust attention, trading at approximately ₹1,972. This indicates a grey market premium of ₹187, or roughly 10.48 per cent, over the upper band limit. Allotment status finalisation is slated for September 22, with formal exchange listing and trading anticipated to commence on September 24.
