HDFC Bank Shares Reach Seven-Week High as Reserve Bank Evaluates Anup Bagchi for CEO Post
HDFC Bank shares climbed to a seven-week high of Rs 749.30 apiece, extending a three-session winning streak to gain 5% despite broader market volatility. The stock movement follows reports that the Reserve Bank of India is actively reviewing the candidature of ICICI Prudential Life Insurance Managing Director and CEO Anup Bagchi to succeed outgoing chief Sashidhar Jagdishan later this year.
Section 35B of the Banking Regulation Act requires prior approval from the Reserve Bank of India for the appointment, reappointment, or termination of an managing director and chief executive officer in a private banking company. Meanwhile, while foreign portfolio investors reduced their exposure to HDFC Bank for at least five consecutive quarters, domestic mutual funds increased their holding to 30.62% in June 2026 from 29.54% in March 2026, acting as a key stabilizing force.
The central bank has initiated background consultations regarding Bagchi, seeking formal feedback from the insurance regulator and ICICI Bank Chief Executive Sandeep Bakhshi. Regulatory scrutiny centers on Bagchi's three-year tenure outside mainstream commercial banking, evaluating whether his absence from traditional lending operations might affect his integration into current regulatory and operational environments.
Succession Pipeline and Regulatory Hurdles
Earlier in September, HDFC Bank formally submitted an application proposing two candidates to the central bank for the leadership transition. Alongside Bagchi, the lender proposed deputy managing director Kaizad Bharucha as its second choice. However, Bharucha, who has served as a whole-time director since June 2014, faces an impending 15-year statutory ceiling under Reserve Bank regulations. Reaching that limit in June 2029 would curtail a full three-year CEO term unless the lender secures a six-month regulatory relaxation, an administrative dispensation officials note is granted only under exceptional circumstances.
Regulations mandate that the post of managing director, chief executive officer, or whole-time director in private sector banks cannot be held by the same individual for more than fifteen years continuously. Furthermore, during the three-year cooling-off period following a fifteen-year tenure, the individual cannot be associated with the bank or any of its group entities in any capacity, directly or indirectly.
The succession process has unfolded against a backdrop of governance normalization following the departure of former part-time chairman Atanu Chakraborty in March. That transition previously triggered a pronounced sell-off in the bank's shares, compounding pressures from sluggish loan-to-deposit ratio adjustments and compressed net interest margins following the lender's merger with its parent housing finance corporation.
Brokerage Outlook and Valuation Metrics
Major international financial institutions have responded to the leadership developments by reaffirming bullish stances on the private banking major. UBS added HDFC Bank to its APAC Key Call List, maintaining a buy rating with a target price of Rs 1,000 per share. Analysts at UBS anticipate that resolving leadership uncertainties will catalyze a stock rerating, projecting loan growth recovery to 15% across fiscal years 2027 to 2029 alongside a return on assets improvement to 1.9%.
Macquarie retained an outperform rating with a target price of Rs 1,150, identifying an external CEO appointment as the primary catalyst for valuation recovery. Nomura similarly maintained a buy rating with a target price of Rs 950, noting that a credible external leader would provide a cleaner slate to drive strategic resets across deposit mobilization and margin trajectories.
Market valuations remain discounted compared to historical averages and domestic peers, trading at approximately 2.5 times price-to-book value against a reported return on equity of 13.6%. Technical indicators also signal stabilizing momentum, supported by hammer candlestick formations near recent multi-quarter lows and bullish weekly relative strength index divergences as accumulation patterns emerge among institutional investors ahead of the October 26 conclusion of Jagdishan's incumbent term.
