CoreWeave Launches $3 Billion Convertible Debt Offering to Fund AI Expansion
Nvidia-backed cloud infrastructure provider CoreWeave has launched a $3 billion convertible debt offering alongside an at-the-market stock sale program for up to 35 million shares. The financing moves highlight the capital-intensive nature of scaling artificial intelligence infrastructure to meet soaring demand from enterprise clients.
Initial purchasers of the debt offering are granted an option to buy up to an additional $500 million in principal. CoreWeave stated that proceeds from the debt placement will be allocated toward operational funding and protection against equity dilution. Simultaneously, the company established an at-the-market share program managed by major financial institutions including Deutsche Bank, Goldman Sachs, and J.P. Morgan, which could generate approximately $2.92 billion based on recent closing valuations.
Capital Structure and Credit Objectives
The dual equity and debt mechanisms form a concerted strategy by CoreWeave to strengthen its balance sheet and progress toward an investment-grade credit profile. By diversifying its funding sources beyond traditional lending, the infrastructure provider aims to support massive ongoing capital expenditures required for high-performance computing clusters. While specific criteria for achieving investment-grade status were not detailed in corporate disclosures, such progressions typically involve demonstrating robust cash flow generation and manageable debt levels.
Demand for specialized artificial intelligence compute infrastructure remains exceptionally high, reflected in the company operational metrics. During the third quarter, CoreWeave secured short-term customer contracts for compute capacity priced at approximately $40 million per megawatt on an annualized basis. Total contracted power expanded to approximately 4.2 gigawatts, rising from 3.7 gigawatts at the conclusion of June.
Backlog Expansion and Power Capacity
The financing drive arrives on the heels of substantial revenue backlog growth reported by the infrastructure firm. In August, CoreWeave disclosed a second-quarter revenue backlog of $104.2 billion, which was subsequently bolstered by more than $25 billion in additional customer commitments secured during the early weeks of the third quarter.
Execution of the equity share program remains subject to prevailing market conditions and final determination by corporate leadership. Management has not specified an immediate timeline for concluding the share issuances, while the initial convertible debt placement proceeds through standard financial underwriting channels.
