China's Z.AI Raises $5 Billion in Share and Bond Sale to Fuel AI Expansion
Beijing-based artificial intelligence firm Z.AI has secured $5 billion through a combined Hong Kong share placement and a concurrent convertible bond offering. According to a regulatory filing submitted to the Hong Kong stock exchange, the company raised approximately $2 billion via a share placement and another $3 billion through zero-coupon convertible debt. The aggressive capital injection is designed to fund heavy investments in next-generation model development, computing infrastructure, and domestic and international expansion as Chinese developers race to keep pace with major US competitors.
The equity portion of the transaction involved offering 21.97 million new Hong Kong shares at HK$714, equivalent to $91.05 per share. This pricing represented a 10 per cent discount compared to the stock's closing price of HK$793 on the preceding Friday. Concurrently, the firm issued 20.14 billion yuan, valued at $3 billion, in zero-coupon bonds maturing in September 2027. These yuan-denominated debt instruments will be settled in US dollars and were issued at 100.5 per cent of their face value with an initial conversion price set at HK$892.50, marking a 25 per cent premium over the share placement price.
Allocation and Strategic Rationale
Z.AI indicated in its regulatory disclosures that approximately 60 per cent of the net proceeds will be funneled directly into research and development. This funding is specifically targeted at advancing the company's next-generation artificial intelligence models and its fully self-training system. Another 15 per cent of the capital has been designated for corporate expansion plans, while the remaining balance will be utilized to optimize the firm's overall capital structure, replenish daily working capital, and support general corporate requirements.
The massive financing round reflects the escalating financial demands placed on Chinese artificial intelligence enterprises. Developers in the region require substantial capital outlays to secure the high-performance computing infrastructure and specialized engineering talent necessary to compete against dominant US counterparts such as OpenAI and Anthropic. Within the domestic market, Z.AI also navigates intense competition from local AI peers including DeepSeek, Moonshot AI, and MiniMax.
Debt Terms and Redemption Conditions
The zero-coupon convertible bonds incorporate specific structural provisions regarding investor conversion and issuer redemption. The initial conversion price of HK$892.50 establishes a clear threshold for debt-to-equity conversion over the lifetime of the notes. Additionally, the filing outlines that Z.AI retains the right to redeem all, but not part, of the outstanding bonds starting from February 18, 2027. This redemption clause can be triggered if the company's shares trade at or above 130 per cent of the conversion price for a duration of 20 out of 30 consecutive trading days.
This transaction follows a rapid sequence of capital market activities for the enterprise. Formerly known as Zhipu AI, the company completed its initial public offering in Hong Kong in January and subsequently raised approximately $4 billion through a follow-on share sale in July.
